In a move aimed at strengthening its communications segment, US technology, communications and security company Motorola Solutions is set to acquire wireless radio manufacturer Silvus Technologies.

Under the terms of the definitive agreement, Motorola will acquire Silvus for $4.4bn in upfront consideration, comprising approximately $4.38bn in cash – subject to customary adjustments – and around $20m in restricted stock allocated to certain employee equity holders.

Additionally, Silvus may receive an earnout of up to $600m in total, contingent on business performance over consecutive 12-month periods ending in 2027 and 2028.

The acquisition is expected to close in the third or fourth quarter of 2025, pending the necessary regulatory approvals.

Founded in 2004 and headquartered in Los Angeles, California, Silvus designs and develops software-defined, high-speed mobile ad-hoc network technology. This technology enables highly secure data, video and voice communications without the need for fixed infrastructure. Silvus serves a broad customer base, including autonomous systems manufacturers, military organisations, law enforcement agencies and enterprises worldwide.

Silvus’ technology is engineered to support frontline operations in the most demanding and contested environments. Its devices form mesh networks that are large, scalable and self-healing, adapting to continuous mobility. These robust mobile networks connect people, devices and other nodes over long distances and at scale, while seamlessly supporting bandwidth-intensive technologies such as video, sensors and drones.

“This acquisition underscores our unwavering conviction that technology is the bedrock for protecting communities, securing borders and defending against today’s ever evolving threats, whether in the air, on the ground or in the water,” said Greg Brown, chairman and chief executive of Motorola Solutions. “As a result, we are now expanding our intelligent network footprint and powering next-generation security for those who stand on the front lines everywhere.”

Motorola and Silvus plan to integrate their engineering teams and leverage Motorola Solutions’ global go-to-market capabilities to reach customers worldwide. Silvus was previously owned by private equity firm TJC LP, formerly known as The Jordan Company.

“We are inspired by Motorola Solutions’ deep tradition of innovation,” said Babak Daneshrad, chief executive of Silvus Technologies. “The idea that safety is the foundation on which better lives are built is not just a deeply held belief our companies share, but is the motivating force behind our research and development work.

“Finally, I would like to thank TJC for their guidance and support on our journey,” he continued. “I look forward to our future together, unifying the strengths of our advanced engineering teams in pursuit of serving those who protect us all.”

With offices in New York, Chicago, Miami and Stamford, TJC has worked for more than 40 years with chief executives, founders and entrepreneurs across a range of industries, including consumer and healthcare, diversified industrials, industrial technology, aerospace and defence, logistics and supply chain, and technology and infrastructure.

“It has been a privilege to partner with the Silvus team, and see their relentless dedication result in disruptive technological advances and safer, more resilient communications for their critical customer base,” said Erik Fagan, partner and head of industrial technology at TJC. “We look forward to Silvus’ continued success as part of the Motorola Solutions family.”
